<p>CONTRACT NO. AT-(40-1)-1032</p>

<p>THIS CONTRACT, entered into this <hi rend="underline">5th</hi> day of <hi rend="underline">June</hi>, 1950, by<lb/>
the <name type="corporate">UNITED STATES OF AMERICA</name> (hereinafter called the "Government"), acting<lb/>
through the <name type="corporate">UNITED STATES ATOMIC ENERGY COMMISSION</name> (hereinafter called the<lb/>
"Commission"), and the <name type="corporate">CONSOLIDATED UNIVERSITY OF NORTH CAROLINA</name>, <name type="place">Chapel Hill,<lb/>
North Carolina</name> (hereinafter called the "Contractor"),
</p>
<p>WITNESSETH THAT, the parties hereto do mutually agree as follows:
</p>
<div2 type="section" n="1">
<p>ARTICLE I - <hi rend="underline">PURPOSE AND SCOPE</hi>
</p>

<p>1. The <name type="corporate">Commission</name>, in furtherance of its policy of assisting and<lb/>
fostering private research relating to atomic energy, desires to encourage the<lb/>
Contractor's research in the field of atomic energy, and the Contractor's plans<lb/>
for the development and construction of a low-powered nuclear reactor suitable<lb/>
for research operations on a university campus.  It is recognized by the parties,<lb/>
however, that certrain aspects of such a project will require further study and<lb/>
consideration before construction of such a reactor or allocation of fissionable<lb/>
materials for use in connection therewith can be approved by the <name type="corporate">Commission</name>.
</p>
<p>2. The immediate work hereunder shall consist of research directed<lb/>
toward the preparation of the following for presentation to the Commission:
</p>
<p>a. A detailed design of a low-powered nuclear reactor suitable<lb/>
for on-campus use in university research operations primarily on an <orig reg="unclassified">unclassi-<lb/>
fied</orig> and/or declassified basis.
</p>
<p>b. An analysis of the health and safety hazards involved in the<lb/>
operation of such a reactor.
</p>
<p>c. A suggested detailed plan of operations, including operational<lb/>
procedures for the reactor, a security plan, and possible administrative <orig reg="procedures">pro-<lb/>
cedures</orig> governing the production and distribution of isotopes.
</p>
<p>3. The Contractor shall furnish, without cost to the <name type="corporate">Commission</name>, all<lb/>
services, facilities, equipment, supplies and materials (except such items as<lb/>
may be furnished by the Government hereunder, at its election) required for the<lb/>
performance of the research program described in section 2 above.
</p>
<p>4. The work will be carried out by the Contractor under the scientific<lb/>
direction of <name type="person">Dr. Clifford K. Beck</name>.</p>

<div2 type="section" n="2">
<p>ARTICLE II - <hi rend="underline">TERM OF CONTRACT</hi></p>

<p>The initial period of performance for the research project covered<lb/>
by this contract will commence on <date value="1950-06-15">June 15, 1950</date> and will end on <date value="1951-06-14">June 14, 1951</date>.<lb/>
It is recognized that completion of the research work under this contract may<lb/>
involve a longer period of time and that the term of this contract may be extended<lb/>
by mutual agreement.

<p>ARTICLE III - <hi rend="underline">INFORMATION TO BE MADE AVAILABLE BY THE GOVERNMENT</hi>
</p>

<p>In consideration of the performance of the research activities<lb/>
described in Article I, the Government agrees to cooperate with the Contractor<lb/>
and to make available to the Contractor such technical data (including advice<lb/>
on technical and security matters by personnel of the <name type="corporate">Commission</name> and its other<lb/>
contractors) as the <name type="corporate">Commission</name>, in its discretion, and consistent with the<lb/>
requirements of national security, deems pertinent. With the <name type="corporate">Commission</name>'s<lb/>
approval, arrangements may also be made for authorized personnel of the <orig reg="Contractor">Con-<lb/>
tractor</orig> to visit and inspect appropriate installations and activities of the<lb/>
<name type="corporate">Commission</name> and its other contractors.</p>

<div2 type="section" n="4">
<p>
ARTICLE IV - <hi rend="underline">REPORTS, RECORDS and INSPECTION</hi>
</p>
<p>1. The <name type="corporate">Commission</name> shall have the right to inspect in such manner<lb/>
and at such times as it deems appropriate all activities of the Contractor<lb/>
arising in the course of the work under this contract.</p>
<p>
2. Upon completion of the work described in Article I, the Contractor<lb/>
shall furnish to the <name type="corporate">Commission</name>'s Office of Research and Medicine, Post Office<lb/>
Box E, <name type="place">Oak Ridge, Tennessee</name>, ten (10) copies of a complete report, including<lb/>
the reactor design, hazard analysis, and suggested plan of operations.  At such<lb/>
intervals as it deems advisable, the Contractor may also furnish to the <name type="corporate">Commission</name><lb/>
brief interim reports covering significant results or developments during the <lb/>
progress of the work. Such interim reports should be made in duplicate, one<lb/>
copy being sent to the Commission's Division of Research, 1901 Constitution<lb/>
Avenue, N.W., <name type="place">Washington, D. C.</name>, the other copy being sent to the <name type="corporate">Commission</name>'s<lb/>
Office of Research and Medicine at the <name type="place">Oak Ridge</name> address listed above.</p>

<p>3. The <name type="corporate">Commission</name> shall at all times be afforded access to the <lb/>
premises and to all technical reports, correspondence, instructions, drawings,<lb/>
and memoranda of record value of the Contractor pertaining to said work.
</p>

<div2 type="section" n="5">
<p>ARTICLE V - <hi rend="underline">TITLE TO PROPERTY</hi>
</p>

<p>It is the intention of the parties that the Contractor shall be and<lb/>
remain the exclusive owner of all equipment, supplies, and material which it<lb/>
purchases for use in connection with the performance of this contract.  In the<lb/>
event that the Contractor is furnished any items of equipment, supplies, or<lb/>
material (including reports on technical data) by the Government for use in<lb/>
connection with activities described in Article I, the Contractor shall use<lb/>
same only for such purposes, and, unless otherwise directed in writing by the<lb/>
<name type="corporate">Commission</name>, shall return same to the <name type="corporate">Commission</name> upon termination of this <orig reg="contract">con-<lb/>
tract</orig>.  It is understood and agreed that, except as provided in Article VII,<lb/>
the Contractor shall not be responsible for any loss or destruction of or damage<lb/>
to any of said items of Government property except to the extent that such loss,<lb/>
destruction or damage is due to the gross negligence or willful misconduct of<lb/>
the corporate officers of the Contractor.</p>

<p>ARTICLE VI - <hi rend="underline">PUBLICATIONS</hi>
</p>
<p>
The Contractor shall have full freedom of publication of the results<lb/>
of the research under this contract and the Contractor is urged to disseminate<lb/>
the results of the work through customary scientific publication channels,<lb/>
except that "restricted data" as defined in Article VII hereof shall be governed<lb/>
by the provisions of that article.  All publications shall include references,<lb/>
in accordance with current scientific practice, to those results which were <lb/>
developed under <name type="corporate">Commission</name> sponsored projects.</p>

<div2 type="section" n="7">
<p>ARTICLE VII - <hi rend="underline">SECURITY AND DISCLOSURE OF INFORMATION</hi>
</p>

<p>1. While it is intended that the Contractor will, so far as <orig reg="possible">possi-<lb/>
ble</orig>, perform the work under this contract as unclassified work, it is understood<lb/>
that performance hereunder will, in part, involve restricted data, and that in<lb/>
such performance the Contractor shall, in accordance with the <name type="corporate">Commission</name>'s<lb/>
security regulations and requirements, be responsible for safeguarding restricted<lb/>
data and other classified matter and protecting against sabotage, espionage and<lb/>
theft, the classified documents, materials, equipment, processes, etc. as well<lb/>
as such other material of highly intrinsic or strategic value as may be in the <lb/>
Contractor's possession in connection with the performance of work under this<lb/>
contract.  Disclosure of information relating to any restricted data to any<lb/>
person not entitled to receive it, or failure to safeguard any restricted data<lb/>
or any top secret, secret, confidential, or restricted matter that may come to<lb/>
the Contractor or any person under the Contractor's control in connection with<lb/>
the work under this contract, may subject the Contractor, its agents, employees,<lb/>
and Subcontractors to the criminal liability under the laws of the <name type="corporate">United States</name>.<lb/>
(See the Atomic Energy Act of 1946, 60 Stat. 755, as amended, Title 42 U.S.C.<lb/>
Sec. 1801 et seq. See also Title 18 U.S.C. Sec. 791 - 797 and Executive Order<lb/>
No. 10,104 of <date value="1950-02-01">Feb. 1, 1950</date>, 15 F.R. 597.)</p>

<p>2. The Contractor agrees to conform to all security regulations and<lb/>
requirements of the <name type="corporate">Commission</name>. Except as the <name type="corporate">Commission</name> may authorize, in <lb/>
accordance with the Atomic Energy Act of 1946, as amended, the Contractor shall<lb/>
not permit any individual to have access to restricted data until the <name type="corporate">Federal<lb/>
Bureau of Investigation</name> shall have made an investigation and report to the<lb/>
<name type="corporate">Commission</name> on the character, associations, and loyalty of such individual and<lb/>
the <name type="corporate">Commission</name> shall have determined that permitting such person to have access<lb/>
to restricted data will not endanger the common defense or security.  Whenever<lb/>
in the course of the work hereunder any discoveries are made or any data developed<lb/>
that constitute restricted data, the Contractor shall promptly inform the <orig reg="Commission">Commis-<lb/>
sion</orig> and shall classify and safeguard all discoveries and data in accordance with<lb/>
the requirements of the <name type="corporate">Commission</name>.  If doubt exists as to whether any discovery<lb/>
or data developed constitute restricted data, prior to the release of these data<lb/>
and before permitting any individual who has not received clearance from the<lb/>
<name type="corporate">Commission</name> to have access to such data, the Contractor shall seek guidance from <lb/>
the <name type="corporate">Commission</name>.  Furthermore, the <name type="corporate">Commission</name> reserves the right to require the</p>

<p>classification of work whenever in its opinion restricted data are involved.<lb/>
The term "restricted data", as used in this article, means all data concerning<lb/>
the manufacture or utilization of atomic weapons, the production of fissionable<lb/>
material, or the use of fissionable material in the production of power, but<lb/>
shall not include any data which the <name type="corporate">Commission</name> from time to time determined<lb/>
may be published without adversely affecting the common defense and security.
</p>
<p>3. Except as approved in writing by the <name type="corporate">Commission</name>, the Contractor<lb/>
shall insert the provisions of Sections 1 and 2 of this article in all <orig reg="subcontracts">sub-<lb/>
contracts</orig>, agreements with its employees, and agreements for borrowed personnel<lb/>
under this contract.
</p>
</div2>
<div2 type="section" n="8">
<p>ARTICLE VIII - <hi rend="underline">TERMINATION</hi>
</p>

<p>The <name type="corporate">Commission</name> may at any time upon 120 days written notice terminate<lb/>
this contract in whole or in part without liability to the Contractor.</p>
</div2>

<div2 type="section" n="9">
<p>ARTICLE IX - <hi rend="underline">PATENTS</hi>
</p>

<p>1. Whenever any patentable invention or discovery is made or con-<lb/>
ceived by the Contractor or its employees in the course of any of the work<lb/>
under this contract, the Contractor shall furnish the Commission with complete<lb/>
information thereon; and the <name type="corporate">Commission</name> shall have the sole power to determine<lb/>
whether or not and where a patent application shall be filed, and to the determine<lb/>
the disposition of the title to and rights under any application or patent that<lb/>
may result. The judgement of the <name type="corporate">Commission</name> on these matters shall be accepted<lb/>
as final; and the Contractor, for itself and for its employees, agrees that the<lb/>
inventor or inventors will execute all documents and do all things necessary or<lb/>
proper to carry out the judgment of the <name type="corporate">Commission</name>.</p>

<p>2. No claim for pecuniary award under the provisions of the Atomic<lb/>
Energy Act of 1946 shall be asserted by the Contractor or its employees with<lb/>
respect to any invention or discovery made or conceived in the course of any of<lb/>
the work under this contract.</p>

<p>3. Except as otherwise authorized in writing by the <name type="corporate">Commission</name>, the<lb/>
Contractor will obtain patent agreements to effectuate the purposes of Sections<lb/>
1 and 2 of the Article from all persons who perform any part of the work under<lb/>
this contract, except clerical and manual labor personnel who will not have<lb/>
access to technical data.</p>

<p>4. Except as otherwise authorized in writing by the <name type="corporate">Commission</name>, the <lb/>
Contractor will insert all subcontracts provisions making Sections 1, 2,<lb/>
and 3 of this Article applicable to the subcontractor and its employees.
</p>

<p>ARTICLE X - <hi rend="underline">DISPUTES</hi>
</p>
<p>
Except as otherwise specifically provided in this contract, all<lb/>
disputes which may arise under this contract and which are not disposed of by<lb/>
mutual agreement shall be decided by a representative of the <name type="corporate">Commission</name> duly<lb/>
authorized to supervise and administer performance under this contract, who<lb/>
shall reduce his decision to writing and cause a copy thereof to be mailed to<lb/>
the Contractor; said decision is final and conclusive, subject to the<lb/>
provisions of the sentence next following.  Within thirty (30) days from the <lb/>
date of such mailing, the Contractor may appeal in writing to the <name type="corporate">Commission</name>,<lb/>
whose written decision thereon, or that of its duly authorized representative,<lb/>
representatives, or board, not including the representative mentioned in the <lb/>
preceding sentence, shall be final and conclusive. Pending decision of a <lb/>
dispute hereunder, the Contractor shall proceed with the performance of its <lb/>
undertakings under this contract.</p>

<div2 type="section" n="11">
<p>ARTICLE XI - <hi rend="underline">SAFETY AND ACCIDENT PREVENTION - INSPECTIONS</hi>
</p>

<p>The Contractor will comply with health and safety regulations of the<lb/>
<name type="corporate">Commission</name> required for work of this nature, and permit the <name type="corporate">Commission</name> and its<lb/>
designees to inspect the work conducted under this agreement.</p>

<div2 type="section" n="12">
<p>ARTICLE XII - <hi rend="underline">OFFICIALS NOT TO BENEFIT</hi>
</p>

<p>No member of or Delegate to Congress, or Resident Commissioner shall<lb/>
be admitted to any share or part of this contract or to any benefit that may<lb/>
arise therefrom, but this provision shall not be construed to extend to this<lb/>
contract if made with a corporation for its general benefit.</p>

<div2 type="section" n="13">
<p>ARTICLE XIII - <hi rend="underline">COVENANT AGAINST CONTINGENT FEES</hi>
</p>
<p>
The Contractor warrants that it has not employed any person to<lb/>
solicit or secure this contract upon any agreement for a commission, percentage,<lb/>
brokerage, or contingent fee.  Breach of this warranty shall give the Government<lb/>
the right to annul the contract, or, in its discretion, to deduct from the <orig reg="contract">con-<lb/>
tract</orig> price or consideration the amount of such commission, percentage, <orig reg="brokerage">broker-<lb/>
age</orig>, or contingent fees. This warranty shall not apply to commissions payable<lb/>
by contractors upon contracts or sales secured or made through bona fide <orig reg="established">estab-<lb/>
lished</orig> commercial or selling agencies maintained by the Contractor for the <lb/>
purpose of securing business.</p>

<div2 type="section" n="14">
<p>ARTICLE XIV - <hi rend="underline">ANTI-DISCRIMINATION</hi>
</p>
<p>
The Contractor, in performing the work required by this contract,<lb/>
shall not discriminate against any employee or applicant for employment because<lb/>
of race, creed, color, or national origin.
</p>
</div2>
<div2 type="section" n="15">
<p>ARTICLE XV - <hi rend="underline">CONVICT LABOR</hi>
</p>
<p>
The Contractor shall not, in the performance of this contract, employ<lb/>
any person undergoing sentence or imprisionment at hard labor.</p>

</p>
<p>ARTICLE XVI - <hi rend="underline">EIGHT-HOUR LAW</hi></p>

<p>
The Contractor agrees to insert the following clause in all <orig reg="subcontracts">subcon-<lb/>
tracts</orig> hereunder with private persons or firms:
</p>
<p>No laborer or mechanic doing any part of the work contemplated by <lb/>
this contract in the employ of the Contractor or any subcontractor contracting<lb/>
for any part of said work contemplated, shall be required or permitted to work<lb/>
more than eight (8) hours in any one calendar day upon such work at the site<lb/>
thereof, except upon the condition that compensation is paid to such laborer<lb/>
or mechanic in accordance with the provisions of this Article.  The wages of<lb/>
every laborer and mechanic employed by the Contractor or any subcontractor<lb/>
engaged in the performance of this contract shall be computed on a basic day <lb/>
rate of eight (8) hours per day and work in excess of eight (8) hours per day<lb/>
is permitted only upon the condition that every such laborer and mechanic shall<lb/>
be compensated for all hours worked in excess of eight (8) hours per day at not<lb/>
less than one and one-half (1 1/2) times the basic rate of pay.  For each violation<lb/>
of the requirements of this Article a penalty of Five Dollars ($5.00) shall be<lb/>
imposed upon the Contractor for each laborer or mechanic for every calendar day<lb/>
in which such employee is required or permitted to labor more than eight (8)<lb/>
hours upon said work without receiving compensation computed in accordance with<lb/>
this Article, and all penalties thus imposed shall be withheld for the use and<lb/>
benefit of the Government; provided, that this stipulation shall be subject in<lb/>
all respects to the exceptions and provisions of U. S. Code, Title 40, Sections<lb/>
321, 324, 325, and 326, relating to hours of labor, as modified by the provisions<lb/>
of Section 303 of Public Act No. 781, 76th Congress, approved <date value="1940-09-09">September 9, 1940</date>,<lb/>
relating to compensation for overtime.</p>

<div2 type="section" n="17">
<p>ARTICLE XVII - <hi rend="underline">ASSIGNMENT OF CLAIMS</hi>
</p>
<p>
Neither this contract, nor any interest therein, or claim thereunder,<lb/>
shall be assigned or transferred by the Contractor to any party or parties,<lb/>
except as may be approved in writing by the <name type="corporate">Commission</name>.
</p>

<div2 type="section" n="18">
<p>ARTICLE XVIII - <hi rend="underline">AUTHORIZATION</hi>
</p>

<p>This contract is authorized by and has been executed under the<lb/>
Atomic Energy Act of 1946.</p>

<div2 type="section" n="19">
<p>ARTICLE XIX - <hi rend="underline">DEFINITIONS</hi>
</p>

<p>As used in this contract the terms "<name type="corporate">United States Atomic Energy<lb/>
Commission</name>", "<name type="corporate">Atomic Energy Commission</name>" and "<name type="corporate">Commission</name>" shall mean the<lb/>
<name type="corporate">United States Atomic Energy Commission</name> or its duly authorized representative<lb/>
or representatives.</p>
