The primary parties to a license agreement are the licensor and the
licensee. The licensor is the entity that owns or controls the property
or subject matter of the license and is typically the entity granting
the rights at issue. The licensee is the entity that wants access to
or use rights for the property.
In our case, the licensor may also be referred to as the "vendor"
while the licensee is North Carolina State University. The NCSU Libraries
is not the licensee, since it is not a legal entity for contracting
purposes. The NCSU Libraries' licenses are for the benefit of a third
group, the Libraries' users, who are not parties to the contract/license.
